This is a legal agreement between you and Zebracat AI UG (dba zebracat.ai).

By submitting the online application you are agreeing that you have read and understand the terms and conditions of this agreement and that you agree to be legally responsible for each and every term and condition.

1. Overview

This agreement contains the complete terms and conditions that apply to you becoming an affiliate in zebracat.ai's affiliate program. The purpose of this agreement is to allow linking between your platform and the zebracat.ai website. Please note that throughout this agreement, "we," "us," and "our" refer to zebracat.ai, and "you," "your," and "yours" refer to the affiliate.

2. Affiliate obligations

2.1. Enrollment

To begin the enrollment process, you will complete and submit the online application form. Every application is reviewed for fraud-patterns. We may reject your application at our sole discretion. We may cancel your application if we determine that your site is unsuitable for our program, including if it:

• 2.1.1. Promotes sexually explicit materials
• 2.1.2. Promotes violence
• 2.1.3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• 2.1.4. Promotes illegal activities
• 2.1.5. Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law
• 2.1.6. Includes "Zebracat" or variations or misspellings thereof in its domain name
• 2.1.7. Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion
• 2.1.8. Contains software downloads that potentially enable diversions of commission from other affiliates in our program
• 2.1.9. You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website nor design your website in a manner which leads customers to believe you are zebracat.ai or any other affiliated business

2.2. Placement review

Zebracat.ai reserves the right, at any time, to review your placement and approve the use of your links and require that you change the placement or use to comply with the guidelines provided to you.

2.3. Legal compliance

It is entirely your responsibility to follow all applicable intellectual property and other laws that pertain to your site. You must have express permission to use any person's copyrighted material, whether it be a writing, an image, or any other copyrightable work. We will not be responsible (and you will be solely responsible) if you use another person's copyrighted material or other intellectual property in violation of the law or any third party rights.

3. Zebracat.ai rights and obligations

3.1. Monitoring

We have the right to monitor your site at any time to determine if you are following the terms and conditions of this agreement. We may notify you of any changes to your site that we feel should be made, or to make sure that your links to our website are appropriate and to notify further you of any changes that we feel should be made. If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in the zebracat.ai affiliate program.

3.2. Fraud

Zebracat.ai reserves the right to terminate this agreement and your participation in the zebracat.ai affiliate program immediately and without notice to you should you commit fraud in your use of the zebracat.ai affiliate program or should you abuse this program in any way. If such fraud or abuse is detected, zebracat.ai shall not be liable to you for any commissions for such fraudulent sales.

3.3. Term start

This agreement will begin upon our acceptance of your affiliate application, and will continue unless terminated hereunder.

4. Termination

Either you or we may end this agreement at any time, with or without cause, by giving the other party written notice. Written notice can be in the form of mail, email or fax. In addition, this agreement will terminate immediately upon any breach of this agreement by you.

5. Modification

We may modify any of the terms and conditions in this agreement at any time at our sole discretion. In such event, you will be notified by email. Modifications may include, but are not limited to, changes in the payment procedures and zebracat.ai's affiliate program rules. If any modification is unacceptable to you, your only option is to end this agreement. Your continued participation in zebracat.ai's affiliate program following the posting of the change notice or new agreement on our site will indicate your agreement to the changes.

6. Payment

Zebracat.ai uses a third party to handle all of the tracking and payment. The third party is the rewardful.com affiliate network. Kindly review the network’s payment terms and conditions.

If Your application to become an Affiliate is approved by Zebracat AI UG (dba zebracat.ai), You will receive a unique Affiliate ID. The Affiliate ID will be incorporated within each URL which You will use to advertise Zebracat. You will have the opportunity to receive a commission for each sale (“Sale”) that is registered using Your Affiliate ID. If a prospect has multiple Affiliate cookies (“Cookies”), the most recently-acquired Cookie will determine which Affiliate is credited with a Sale. There are some products and services sold that do not have trial periods.

Notwithstanding anything to the contrary set forth herein, whether or not a commission is payable under the Program is in Zebracat’s sole and exclusive discretion.

Provided that the Sold Account (as defined hereinafter) remains in good standing within sixty (60) days from the Sale and subject to the requirements below regarding non-commissionable sales, You will be paid a commission as set forth hereinafter (“Commission”). Commissions are paid only for transactions that actually occur between Zebracat and a Sale in which payment is received by Zebracat within a month of the date that the transaction that qualifies as a paid Cat Mode or Super Cat plan, in Zebracat’s sole discretion, occurs (each, a “Sold Account”), and in any event, only apply to revenue received by Zebracat during the first twelve months of Zebracat’s transaction history with a Sold Account. For clarity, Enterprise or custom plans are non-commissionable. Commission rates are provided to You if you become an Affiliate, and are subject to change at any time, in Zebracat’s sole discretion. Commission payments will be paid in the month following the month in which Zebracat receives a relevant payment for a Sold Account, subject to the other terms of this Agreement. All Commission payments are based on the amount of fees actually received by Zebracat, less applicable taxes. Commission payments are only made to the extent that Zebracat actually receives and retains revenue.

Commission Limitations

A 60-day cookie duration applies, so if someone makes a purchase within 60 days of clicking your affiliate link, an Affiliate will earn the Commission for that sale, but if it happens thereafter, no Commission shall be payable. Zebracat is not responsible for Commissions where a prospect has cleared their cookies.

All Commissions will be specified by Zebracat in writing separately, and are paid in U.S. Dollars (USD) or otherwise in currencies offered by the payment provider. Some payment methods may incur processing fees that may be deducted from Your Commissions payment. Your Commission must equal or exceed 50 Dollars (USD) before You receive a payment from Zebracat. To receive your commission, you must have a valid payment method on file. You can view the available payment options in your affiliate account settings. You are responsible for payment of all taxes and fees (including bank fees) applicable to the Commission. All amounts payable by us to you are subject to offset by us against any amounts owed by you to us.

Participation in the Affiliate Program may require that you create an account through a third-party affiliate tracking and reports service provider called Rewardful. Zebracat may update Commission levels through Rewardful from time to time. Use of Rewardful services is subject to their respective terms and policies available on their website https://www.rewardful.com/ or as they otherwise specify. If your application is approved, you will receive email instructions on how you can receive your designated Referral Link through the Rewardful platform.

Non-Commissionable Behavior

Affiliates will not be paid any Commissions for payments made on Affiliate’s own user account(s). Affiliates are not permitted to open a Zebracat account under the name of another person or entity, under a fictitious name, or under any name merely for the purpose of obtaining Commissions. Affiliates may not pay for another person’s or entity’s account. Affiliates are not permitted to offer cash rebates or other monetary incentives to obtain sales.

If payment for a Sold Account later results in a refund or chargeback, and if a Commission was paid to You for that Sold Account, then the Commission will be deducted from Your future Commissions.

If it is found that a sale came from paid traffic any other related search engine formats targeting Zebracat’s branded and trademarked keywords, Affiliate will be in violation of this agreement and commissions will NOT be paid and Affiliate’s link will be banned, making it no longer possible for Affiliate to track referrals and receive commissions.

If it is found that the traffic sent to the Zebracat website is bot traffic or malicious in behavior, Affiliate will be in violation of this agreement and commissions will NOT be paid and Affiliate’s link will be banned, making it no longer possible for Affiliate to track referrals and receive commissions. This traffic is recognized by server errors or high traffic with extremely low conversion rates, often sent from bad ad networks or purchased email lists.

If it is found that Affiliate is emailing purchased lists or people who have not opted-in to be contacted, or sending direct messages to people on social media soliciting Zebracat without the person's consent, Affiliate will be in violation of this agreement and commissions will NOT be paid and Affiliate’s link will be banned, making it no longer possible for Affiliate to track referrals and receive commissions.

If Zebracat determines, in its sole and exclusive discretion, that any Sale was procured fraudulently or as a result of any violation of this Agreement or applicable law, no Commission will be paid for such Sale, and for past sales, such payment amounts shall be deducted from Your future Commissions, and Zebracat may terminate this Agreement immediately without Zebracat having any liability to You.

7. Access to affiliate account interface

You will create a password so that you may enter Rewardful’s secure affiliate account interface. From their site you will be able to receive your reports that will describe our calculation of the commissions due to you.

8. Promotion restrictions

8.1. Acceptable promotion

You are free to promote your own websites, but naturally any promotion that mentions zebracat.ai could be perceived by the public or the press as a joint effort. Certain forms of advertising are always prohibited by zebracat.ai, including spamming, UCE, cross-posting in newsgroups, identity masking, or misrepresentation.

8.2. Trademark bidding

You may not bid in PPC campaigns on zebracat.ai or any variation. Violations lead to removal without notice.

8.3. Lead input

You may manually input real leads into forms only if they are valid and consented.

8.4. No Parasiteware

You may not use any form of traffic interception, iframe stuffing, redirects, contextual injection, or deceptive overlays.

8.5. Coupon listing

No exclusive listing on deal or coupon sites.

8.6. Paid traffic ban

No use of paid advertising (PPC, display, social) is allowed.

9. Misuse of brand and unauthorized representation

Affiliates are strictly prohibited from:

• Registering or using domain names, social media handles, or advertising accounts that include "Zebracat" or any confusingly similar variation
• Cloning, copying, or recreating any part of the Zebracat website, including layout, copy, visuals, or structure
• Ranking organically or via paid means for branded search terms with the intent to intercept traffic meant for the official website

Violation of this clause will result in immediate termination of the affiliate account and forfeiture of any pending commissions.

10 Grant of licenses

10.1. License to use materials

We grant to you a non-exclusive, non-transferable, revocable right to use Zebracat materials provided through the program.

10.2. Brand use

Each party agrees not to misuse the other’s proprietary materials.

11. Disclaimer

Zebracat.ai makes no express or implied representations or warranties regarding its service and website or the products or services provided therein. We do not guarantee uninterrupted or error-free operation and are not liable for any such disruptions.

12. Representations and warranties

You represent and warrant that:

• This agreement is a binding legal obligation
• You have the authority to enter into it
• You have rights to any content or materials used for your promotion

13. Limitations of liability

We are not liable for indirect, incidental, consequential, or special damages. Our total liability is capped at the total commissions paid to you.

14. Indemnification

You agree to indemnify and hold harmless zebracat.ai and its affiliates from any claims arising from your site content, promotional practices, or IP violations.

15. Confidentiality

Confidential information shared during this agreement must remain private unless authorized in writing.

16. Miscellaneous

• You are an independent contractor
• This agreement is governed by the laws of Germany
• No amendments unless signed in writing by both parties
• If any provision is found invalid, the rest remains in effect
• This is the entire agreement
